1 Acceptance of Terms

By accessing or using the Procurex.ai platform ("Platform"), including our procurement intelligence dashboard, sigma-based rating system, benchmark statistics explorer, and capital intelligence tools, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you (or the entity you represent) and Procurex.ai, Inc. ("Procurex.ai," "we," "us," or "our").

Your use of the Platform is also governed by our Privacy Policy and Security Policy, which are incorporated into these Terms by reference.

2 Definitions

The following terms have specific meanings when used throughout this agreement:

  • "Platform" — The Procurex.ai web application, APIs, and all related services including the Procurement Intelligence Dashboard, SKU Catalog, Benchmark Statistics Explorer, Sigma Ratings engine, Savings Opportunities module, Trend Analysis tools, Financing & Capital Intelligence features, and AI Briefings.
  • "Contributed Data" — Procurement records, purchasing costs, financing terms, supplier information, and other data you upload or submit to the Platform through the Data Upload & Ingestion module.
  • "Anonymized Market Data" — Aggregated, de-identified datasets derived from Contributed Data across multiple participants, used to generate benchmarks and sigma-based ratings.
  • "Sigma Rating" — A statistical measure indicating how your procurement costs or financing terms compare to anonymized market benchmarks, expressed in standard deviations from the mean.
  • "Benchmark Report" — Any analysis, comparison, or insight generated by the Platform based on Anonymized Market Data.
  • "User" — Any individual or entity that accesses or uses the Platform, including administrators, contributors, and viewers.
  • "SMB" — Small and medium-sized businesses, the primary target users of the Procurex.ai platform.

3 Account Registration & Security

To access the Platform's features, you must create an account through our authentication portal. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials and not share them with unauthorized parties
  • Promptly notify Procurex.ai of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account
  • Ensure that all users within your organization comply with these Terms through proper user and role management

Procurex.ai reserves the right to suspend or terminate accounts that violate these Terms or pose a security risk to the Platform.

4 Permitted Platform Use

Subject to these Terms, Procurex.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes. You may:

Prohibited Uses

You may not:

  • Reverse-engineer, decompile, or attempt to extract the source code or algorithms of the Platform
  • Use the Platform to identify, de-anonymize, or target specific competitors or their procurement data
  • Resell, redistribute, or sublicense access to the Platform or its data without written consent
  • Submit false, misleading, or fabricated procurement data
  • Use automated tools (bots, scrapers) to extract data from the Platform beyond authorized API access
  • Interfere with or disrupt the Platform's infrastructure, security, or other users' access
  • Use the Platform for any unlawful purpose or in violation of applicable regulations

5 Data Contribution & Ownership

When you contribute procurement data to the Platform through the Data Upload & Ingestion module, the following terms apply:

5.1 Your Data Ownership

You retain full ownership of your Contributed Data. Procurex.ai does not claim ownership of any data you submit to the Platform. Your contributions are tracked in the Contribution Ledger for transparency.

5.2 License Grant

By contributing data, you grant Procurex.ai a non-exclusive, worldwide, royalty-free license to:

  • Process, anonymize, and aggregate your data with data from other participants
  • Generate Anonymized Market Data, benchmarks, and sigma-based ratings
  • Improve the Platform's algorithms, including the Pricing Rules Engine and Rating Recalculation processes
  • Produce AI-generated insights and briefings based on aggregated trends

5.3 Data Quality

You represent and warrant that all Contributed Data is accurate, complete, and that you have the right to share it. Procurex.ai reserves the right to reject, flag, or remove data that appears inaccurate or fraudulent.

6 Benchmarking & Sigma Ratings

The Platform's core value proposition is providing peer-based procurement benchmarks and sigma-based ratings. You acknowledge and agree that:

  • Statistical Nature: Sigma Ratings are statistical measures derived from anonymized, aggregated data. They represent relative positioning, not absolute assessments of value.
  • Dynamic Calculations: Ratings are recalculated periodically as new data is contributed. Your ratings may change over time as the benchmark dataset evolves.
  • No Guarantee of Savings: While the Platform identifies potential savings opportunities, actual savings depend on your ability to negotiate with suppliers and market conditions.
  • Anonymization: All benchmarks are derived from anonymized data. No individual contributor's data is identifiable in benchmark outputs.
  • Minimum Thresholds: Certain benchmarks may require a minimum number of data contributors to ensure statistical validity and protect anonymity.

7 Intellectual Property

The Platform, including its design, algorithms, sigma rating methodology, AI models, user interface, documentation, and all related intellectual property, is owned by Procurex.ai and protected by applicable intellectual property laws.

The Procurex.ai name, logo, and all related trademarks are the exclusive property of Procurex.ai, Inc. You may not use our trademarks without prior written consent.

Anonymized Market Data, benchmark methodologies, and derived analytics generated by the Platform are the intellectual property of Procurex.ai. You may use benchmark reports and insights generated for your account for your internal business purposes only.

8 Confidentiality & Data Protection

Procurex.ai takes data confidentiality seriously. We commit to:

  • Never sharing your raw Contributed Data with other users or third parties
  • Applying industry-standard anonymization techniques before any data is used in benchmarks
  • Maintaining robust security measures as described in our Security Policy
  • Complying with applicable data protection regulations
  • Providing transparency through the Contribution Ledger about how your data is used

9 Payment Terms

Access to certain Platform features may require a paid subscription. If you subscribe to a paid plan:

  • Fees are billed in advance on a monthly or annual basis as selected during registration
  • All fees are non-refundable except as required by applicable law or as expressly stated in your subscription agreement
  • Procurex.ai reserves the right to modify pricing with 30 days' advance notice
  • Failure to pay may result in suspension or termination of your access to premium features
  • You are responsible for all applicable taxes associated with your subscription

Free tier users may access limited benchmarking features subject to data contribution requirements and usage limits.

10 Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Procurex.ai specifically disclaims:

  • Any warranty that the Platform will be uninterrupted, error-free, or secure
  • Any warranty regarding the accuracy, completeness, or reliability of benchmarks, sigma ratings, or AI-generated insights
  • Any warranty that savings opportunities identified by the Platform will result in actual cost reductions
  • Any warranty regarding the accuracy of financing terms or capital intelligence data
  • Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement

Benchmark data and sigma ratings are informational tools and should not be the sole basis for procurement or financing decisions. You should exercise independent judgment and consult with qualified professionals as appropriate.

11 Limitation of Liability

To the maximum extent permitted by applicable law:

  • Procurex.ai's total liability for any claims arising from or related to these Terms or the Platform shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
  • In no event shall Procurex.ai be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
  • Procurex.ai shall not be liable for any losses resulting from procurement decisions made based on Platform data, benchmarks, or recommendations
  • Procurex.ai shall not be liable for any unauthorized access to or alteration of your data, except where caused by our gross negligence

12 Termination

Either party may terminate this agreement:

  • By You: You may close your account at any time through the account settings. Upon termination, you may request export of your Contributed Data.
  • By Procurex.ai: We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent data contribution, or pose a risk to the Platform or other users.
  • Effect of Termination: Upon termination, your right to access the Platform ceases. Procurex.ai will retain anonymized, aggregated data derived from your contributions as part of the benchmark dataset, but your identifiable Contributed Data will be deleted within 90 days unless legally required to retain it.

13 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Procurex.ai.

14 Changes to Terms

Procurex.ai reserves the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page with a revised "Last Updated" date
  • Sending an email notification to the address associated with your account
  • Displaying a prominent notice within the Platform dashboard

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform.
